Terms of Service
Effective date: 24 March 2026. These Terms set out the rules for using Evoke LedgerBridge. If your organisation has a separate master services agreement, that agreement will take precedence where the documents differ.
1. Agreement to Terms
These Terms govern access to and use of Evoke LedgerBridge, including the marketing website, firm workspace, client portal, automation modules, reporting surfaces, and related support services. By accessing or using the service, you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent.
2. Accounts and Access
You must provide accurate information, maintain the confidentiality of your credentials, and use the service only within the permissions assigned to your role. The account owner is responsible for managing authorised users and promptly removing access that is no longer required.
3. Permitted Use
You may use the platform to manage accounting-related communication workflows, documents, approvals, messaging, automation, and reporting. You may not use the service to violate law, infringe rights, interfere with system security, upload malicious content, or access data outside your authorised tenant or role scope.
4. Customer Data
You retain responsibility for the data, documents, and messages that you upload or cause to be processed through the service. You warrant that you have the authority to use that information and to instruct the platform and any configured integrations to process it on your behalf.
5. Service Availability and Changes
We aim to provide a reliable service, but availability may be affected by maintenance, infrastructure failures, third-party providers, or force majeure events. We may update, improve, suspend, or discontinue features where reasonably necessary, including for security, legal, or operational reasons.
6. Integrations and Third-Party Services
The platform may connect to third-party services such as accounting platforms, payment providers, storage providers, AI tools, and email services. Use of those services may require separate credentials, approvals, and compliance with the relevant third-party terms. We are not responsible for downtime, policy changes, or failures caused by third-party systems outside our control.
7. Fees and Billing
Where paid plans or provider-billed features apply, you agree to the pricing, billing cadence, and payment provider terms selected for your account. Unpaid fees may result in suspension or limitation of service in line with your subscription settings and applicable law.
8. Security and Acceptable Conduct
You must not attempt to bypass access controls, probe for vulnerabilities without authorisation, scrape data in a manner that harms the service, or upload content that is unlawful, malicious, or infringing. We may suspend access where reasonably necessary to protect the platform, customers, or third parties.
9. Intellectual Property
The Evoke LedgerBridge software, branding, site content, and related materials remain the property of Evoke LedgerBridge (Pty) Ltd or its licensors, except for customer data supplied by users. These Terms grant a limited, revocable, non-exclusive right to use the service in accordance with your subscription and role permissions.
10. Confidentiality
Each party must treat non-public business, technical, and customer information received through the relationship as confidential and protect it with reasonable care. This obligation does not apply to information already public, lawfully obtained from another source, or required to be disclosed by law.
11. Warranties and Liability
The service is provided on an as-available basis to the fullest extent permitted by law. Except where liability cannot legally be excluded, we disclaim implied warranties and are not liable for indirect, incidental, special, or consequential loss, loss of profits, or loss arising from customer configuration errors, third-party outages, or unauthorised access caused by compromised credentials outside our control.
12. Suspension and Termination
We may suspend or terminate access for material breach, unlawful use, security risk, or persistent non-payment. You may stop using the service at any time, subject to any applicable subscription commitments and outstanding fees.
13. Governing Law and Updates
These Terms are governed by the law specified in your commercial agreement or, where no separate agreement exists, the law applicable to the operating entity providing the service. We may update these Terms from time to time and will publish the revised version with an updated effective date.
